About Hayakil

Built on Pharma Intelligence,
Driven by Regional Depth

Hayakil Consulting was founded by two senior practitioners who have spent their careers inside the pharmaceutical industry — leading P&L operations at multinationals like Novartis and GlaxoSmithKline, structuring brand acquisitions, navigating regulatory environments across 42 MEA markets, and sitting at the table when governments and global pharma companies set policy together.

We operate at the intersection of scientific rigour and commercial strategy. Whether you are a multinational seeking regional entry through acquisition, a local manufacturer looking to unlock the value of your brand portfolio, a private equity firm conducting sector diligence, or an organisation seeking to shape the regulatory and policy environment in which pharmaceutical commerce takes place — we provide the analytical depth and relationship capital to inform decisive action.

Our presence in Dubai, Cairo, and Riyadh gives us the operational reach and cultural fluency to navigate the regulatory, commercial, and governmental dimensions that ultimately determine deal outcomes in this region.

Operator Credibility
Our principals have held senior executive roles inside pharmaceutical multinationals — not just advised them. We understand what acquirers need because we have been acquirers ourselves.
Regional Intelligence
Deep regulatory, commercial, and government-relations expertise across Egypt, Saudi Arabia, and the UAE — markets with distinct dynamics that demand local fluency.
Policy Influence
We have authored national healthcare policies, shaped pharmaceutical marketing codes, and architected industry-government investment frameworks — giving our clients privileged insight into the regulatory directions that govern their markets and deals.
Confidential by Design
Client engagements are ring-fenced with investment-grade discretion. All processes are governed by strict information barriers and bespoke confidentiality agreements.

What We Do

Advisory Services

Six disciplines across the full pharmaceutical value chain — from deal origination and due diligence through field force effectiveness and public affairs. One advisory firm, consistently principal-led.

01
Mergers & Acquisitions
Full-cycle buy-side and sell-side M&A advisory — covering target identification, valuation, negotiation, and deal structuring across MENA markets. Every assessment includes the commercial infrastructure of the target: field operations maturity, distribution depth, and HCP coverage quality are evaluated as value drivers and gap indicators.

02
Brand Acquisition & Licensing
Strategic assessment and transaction support for the acquisition or licensing of pharmaceutical brands — including market exclusivity analysis, lifecycle positioning, and commercial valuation. For brands entering a new market or new owner, we provide the field deployment strategy: HCP prioritisation, territory architecture, and the commercial framework that drives the fastest revenue ramp.

03
Manufacturing Asset Transactions
Advisory for the acquisition or divestiture of pharmaceutical manufacturing facilities — covering GMP compliance assessment, capacity utilisation, and regulatory transfer strategy. Where a facility comes with a commercial product portfolio, the field force and distribution infrastructure are assessed as integral components of asset value.

04
Due Diligence & Commercial Excellence
Comprehensive multi-stream due diligence for acquirers, investors, and lenders evaluating pharmaceutical targets across MENA — covering commercial, regulatory, scientific, and operational dimensions. Our commercial excellence stream goes beyond the financials:
  • Field force audit: HCP segmentation rigour, territory coverage quality, call productivity, and representative capability — benchmarked against MENA sector norms
  • CRM maturity: platform utilisation, data quality, KPI framework, and the gap between system capability and actual adoption
  • Commercial gap pricing: each identified weakness is translated into a post-acquisition investment requirement and a corresponding deal-price adjustment
  • Regulatory & scientific streams: dossier status, registration timelines, GMP compliance, IP landscape, and pharmacovigilance integrity across Egypt, Saudi Arabia, UAE, and 42 MEA markets

Strategic Partnerships & JVs
Structuring and negotiation of pharmaceutical joint ventures, co-promotion agreements, and strategic alliances across MENA — including track record spanning multinational-government investment agreements aligned with Saudi Vision 2030. Our work covers the full partnership lifecycle:
  • Deal architecture: JV structures, co-promotion frameworks, licensing agreements, and toll-manufacturing arrangements tailored to each partner's regulatory and commercial position
  • Field alignment: for co-promotion mandates, we design territory demarcation, shared CRM protocols, HCP coverage responsibilities, and performance frameworks that protect both partners' commercial interests and eliminate channel conflict
  • Government partnerships: strategic investment agreement structuring with national authorities, aligning multinational capabilities with Vision 2030 priorities and national manufacturing agendas

06
Public Affairs & Policy Engagement
The most consequential pharmaceutical decisions are often made in ministries, not boardrooms. Hayakil provides sophisticated public affairs counsel to companies and industry bodies seeking to shape the environment in which they operate.
  • Policy shaping: marketing codes, regional HQ frameworks, and healthcare legislation — informed by outcomes adopted at government decree level
  • Strategic alliances: industry-government investment agreements aligned with Vision 2030 and national manufacturing agendas
  • Trade association & advocacy: active GCC and MENA representation within ethical and legal boundaries; regulatory horizon-scanning for shifts affecting deal viability

Field Force Effectiveness

A pharmaceutical field force without a rigorous effectiveness strategy is the industry's most expensive underperforming asset. Hayakil provides end-to-end field force advisory — from strategy design through CRM optimisation and precision HCP targeting — translating field investment into measurable market impact across MENA.

I
Strategy & Go-to-Market Design

Field force sizing, structure, and go-to-market model aligned to brand lifecycle stage, competitive dynamics, and therapeutic area norms across MENA — setting the strategic foundation before any deployment decision is made.

II
Target Audience & HCP Segmentation

Physician and pharmacist segmentation by prescribing behaviour, influence tier, and channel preference — enabling precision targeting over broad-reach detailing and directing field effort toward the HCPs who drive disproportionate market share.

III
Reach & Coverage Optimisation

Territory design and call planning to maximise high-value HCP coverage while eliminating non-productive frequency — built on local market access intelligence and competitive coverage benchmarking.

IV
CRM Strategy & Optimisation

Platform selection, data architecture design, KPI framework development, and adoption programmes that transform CRM from an administrative burden into a commercial intelligence engine driving measurable market share improvement.

V
Performance Measurement & Analytics

Effectiveness dashboards, call quality frameworks, and productivity benchmarking against regional and global pharmaceutical norms — giving management the visibility to intervene early and reallocate effort toward highest-return activities.

VI
Capability Building

Field manager coaching frameworks, representative training design, and incentive structure alignment to commercial objectives — ensuring strategic intent translates into consistent field execution across every territory.

Our Process

360° Due Diligence Framework

Acquiring a pharmaceutical asset without deep due diligence is the fastest path to value destruction. Our structured process leaves no dimension unexamined.

I
Commercial & Market Due Diligence
Market sizing, competitive landscape, pricing sustainability, distribution access, and revenue quality assessment across target geographies.
II
Regulatory & Dossier Due Diligence
Review of marketing authorisations, dossier status, registration timelines, renewal risks, and regulatory authority relationships across Egypt, Saudi Arabia, UAE, and 42 MEA markets.
III
Scientific & Technical Due Diligence
Formulation analysis, manufacturing process review, IP and patent landscape, bioequivalence data, pharmacovigilance integrity, and quality architecture.
IV
Operational & GMP Due Diligence
Facility inspection readiness, GMP compliance history, capacity headroom, CAPEX requirements, and supply chain resilience for manufacturing assets.
V
Policy & Regulatory Environment Assessment
Horizon-scanning for regulatory and policy change, assessment of government-relations risk to asset valuation, and evaluation of the target company's standing with ministries and regulatory authorities — including pending policy shifts that could affect commercial projections or deal structure.
VI
Financial Modelling & Valuation
DCF modelling, comparable transaction benchmarking, royalty rate analysis, and post-acquisition integration cost estimation to establish defensible deal parameters.

Why Hayakil

What Sets Us Apart

Operators, Not Just Advisors

Our principals have run P&Ls, built distribution networks, launched manufacturing facilities, and closed deals inside major pharmaceutical organisations. We advise from experience, not theory.

Scientific + Commercial Duality

Our founding team combines pharmaceutical science and regulatory credentials with commercial and financial advisory skills — eliminating the gap between technical diligence and deal-making judgement.

Policy Architects

We have not merely navigated regulatory environments — we have helped design them. Our ability to engage governments, shape pharmaceutical codes, and construct the frameworks that govern industry commerce is a capability that few advisors anywhere can credibly claim.

Commercial Transformation

Beyond transactions, we help pharmaceutical companies maximise the commercial performance of the assets they already hold — through field force strategy, CRM optimisation, and precision HCP targeting that drives measurable market share improvement.

Principal-Led at Every Stage

Clients work directly with Hatem and Dr. Othman — not delegated to junior analysts. The experience you engage is the experience that delivers your work, from first brief to final report.
